Terms of service

1. The agreement

These terms are a contract between you (or the business you represent) and Needle and Camel Investments LLC, which operates Deedhawk. By buying a county license, subscribing to hosting and data, or using the portal, you accept them. If you are agreeing for a company, you confirm you are authorised to do so.

2. What the words mean

Service is the Deedhawk portal, its exports, alerts, scores and anything else we make available. County License is the paid right to work one county for one year. Hosting and Data is the monthly subscription that keeps a licensed county refreshing and the portal live. Records are the property, ownership and event data we compile from county sources. Output is what you export or download from the Service.

3. The county license

A County License is sold per county and runs for twelve months from activation. Each county is offered to a maximum of eight standard licensees; when that number is reached we stop selling it. An exclusive license gives you the county alone and is priced at five times the standard license. Additional counties are priced on their own housing market and licensed on the same terms. The license covers your organisation, not your market: it is not transferable, and it may not be resold, sublicensed, shared with another business, or used to serve third parties.

4. Hosting and data

Hosting and Data is $99 per month per account, in every county, billed from activation. It continues month to month until cancelled. Cancelling ends the subscription and the portal access associated with it; the County License itself is a one-time fee and does not renew, so a county you have licensed stays licensed for its year even if you later cancel hosting, though without hosting its data will stop refreshing.

5. Accounts and seats

Each account includes three user seats. Additional seats are $49 per month each. You are responsible for your users' activity and for keeping credentials secure. Tell us promptly if you believe an account has been compromised.

6. Payment

Payments are handled by Stripe. Where you pay by bank transfer (ACH Direct Debit), the payment is not final until it settles with your bank, which can take several business days, and it can later fail or be reversed. Until it settles the license or subscription is not yet active in our records, though we will begin onboarding on a confirmed order. Amounts are in US dollars and exclude any tax we are required to collect. Late or failed payment may suspend the account after notice. Fees are not refundable except where these terms say so or the law requires it.

7. Permitted use

You may use the Service and the Output for your own business of finding, evaluating, marketing to and transacting with property owners and buyers. You may not: resell, publish, redistribute or make the Service or the Output available to anyone outside your organisation; use it to build a competing dataset or product; scrape or systematically extract it beyond the exports we provide; use it to make decisions about a consumer's eligibility for credit, insurance, employment or housing, or for any purpose covered by the Fair Credit Reporting Act; use it to contact anyone in breach of the Telephone Consumer Protection Act, the National Do Not Call Registry, state calling-time or recording-consent rules or any other applicable law; or use it to harass, intimidate, or unlawfully discriminate. You are responsible for the legality of your own outreach.

8. Onboarding a county

Two weeks from a signed license to a live county is our standard lead time, not a guarantee. Counties with unusual record systems take longer. We will confirm the date before you pay, and where a county cannot be brought live we will say so and refund that county's license fee.

9. The records, and their limits

The Records come from public sources: county tax rolls, recorders, clerks of court, permit systems and comparable official systems. We work to make them complete and current, but public records contain errors, lag behind reality, and are sometimes ambiguous about who owns what. Our owner resolution and scores are inferences drawn from those records, not statements of fact about any person. Verify anything material before you act on it or spend money because of it. If you find an error attributable to our collection or matching, tell us and we will correct it; where the error is in the county's own record, we can note it but cannot change it.

10. Ownership

We own the Service, our collection and matching methods, our scores, and the way the Records are compiled and presented. You own your account data and the Output you export, and you may use the Output within the terms of your license. Public records themselves are public; nothing here claims ownership of a county's records.

11. No warranty

The Service is provided as it is. To the fullest extent the law allows we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and uninterrupted or error-free operation. We do not warrant that any score predicts any particular owner's behaviour, or that a county's records are complete.

12. Limits on liability

To the fullest extent the law allows, we are not liable for lost profits, lost opportunities, lost or corrupted data, or indirect, special, incidental or consequential loss. Our total liability arising out of or relating to this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited.

13. Your indemnity

You will defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your use of the Service or the Output, your outreach to any person, or your breach of these terms or of applicable law.

14. Termination and refunds

You may cancel Hosting and Data at any time, effective at the end of the current billing month. We may suspend or terminate an account for non-payment, for breach of the permitted-use section, or where we are required to by law, after notice where notice is practicable. If we terminate for reasons other than your breach, we will refund the unused portion of any prepaid subscription and the license fee for any county not yet live. Except as stated here or required by law, fees are non-refundable. On termination your right to use the Service and the Output ends.

15. Governing law

These terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules, and the courts located there have exclusive jurisdiction. If any provision is found unenforceable, the rest continues in force. These terms, with any signed county license, are the whole agreement between us on this subject.

16. Changes

We may update these terms as the Service changes. The date at the top will change, and we will email account holders before a change that materially affects their rights takes effect. Continuing to use the Service after a change accepts it.
